• All transactions will be reviewed and approved by MPS. An Order Acceptance email will be sent once an order is received.  An Order Confirmation email will be sent once an order is accepted.  

• For commercial accounts, full contact information must be provided. 

• All orders will be delivered via ground freight transportation. Delivery dates are estimates only. 

• If abused or misused, Lithium batteries can be dangerous.  MPS is not liable for damages that result from misuse, overcharging, over-discharging, exceeding the limitations in the specification sheet or product label, lack of maintenance, storage in an overly discharged state, usage in an environment outside the recommended temperature range, accidents, physical damage including crashes, abnormal use, alterations, abuse, normal capacity loss and/or increased resistance due to aging, improper installation, or damage induced by other products. 

Buyer warrants to MPS that: (a) the products shall not be handled by individual consumers and shall not be sold to individual consumers by individual markets, (b) the products should only be handled and used by pack manufacturer(s), equipment manufacturing companies, system integration companies, or applicable regulatory agencies and must be packed in accordance with applicable lithium-ion cell and pack shipping regulations, (c) the products shall not be disassembled or reconstructed from the original equipment or packaging to prevent against the potential fire risk from short circuits or dangerous reverse current flow, and (d) the products are prohibited from being used in e-cigarette, vaporizers (e-cig, vape, mod) or any other similar device applications. Upon the occurrence of any event described in the preceding sentence, the MPS’s warranty shall be void. MPS Employees, representatives or agents, shall not be liable for any damages resulting from Buyer’s violation of Buyer’s warranty provided in the preceding paragraph. 

• MPS warrants that for (i) for a period of 12 months of receipt of shipment, the product (x) will be free from defects in material and workmanship and (y) will conform to the specifications provided by MPS. THESE ARE MPS’S ONLY WARRANTIES. MPS DISCLAIMS ALL OTHER EXPRESS OR IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION,  IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE. 

MPS SHALL NOT BE LIABLE TO BUYER OR ANY OTHER PERSON OR ENTITY FOR ANY INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE OR SPECIAL DAMAGES OR ANY OTHER LOSSES, DAMAGES OR EXPENSES WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT MPS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE. IN NO EVENT SHALL MPS BE LIABLE FOR ANY AMOUNT IN EXCESS OF THE PRICE RECEIVED BY MPS FOR THE DELIVERABLES WITH RESPECT TO WHICH SUCH LIABILITY IS CLAIMED.  

Buyer shall defend, indemnify and hold MPS, its affiliates and their respective officers, directors, members, managers, representatives, agents and employees harmless from and against all claims, suits, demands, losses, liabilities, damages (including injury and death) and expenses (including reasonable attorneys’ fees) (collectively, “Losses”), arising out of or relating to: Buyer’s (or any third party who has acquired the product directly or indirectly from Buyer) use, misuse or disposal of the product; (c) Buyer’s non-compliance with any law;(d) breach of these terms or any product insert by Buyer; and (e) Buyer’s use in conjunction with any other product; (f) Buyer’s violations of warranty provided herein; and (g) products and batteries subjected to: (i) improper or negligent handling, transportation, use, installation or storage; (ii) accident, damage, abuse or misuse; (iii) improper or abnormal operating conditions or applications; (iv) operating conditions or applications above the rated capacity of the product; (v) disassembly, alterations or modifications made to all or part of the product; (vi) improper maintenance; (vii) assembly by other than MPS; or (viii) a use or application other than or varying in any degree from the specifications and MPS’s instructions.  

All drawings, know-how, designs, specifications, inventions, devices, developments, processes, copyrights, trademarks, patents and applications therefore, and other information or intellectual property disclosed or otherwise provided to Buyer by MPS and all rights therein (collectively, “IP”) are and will remain the property of MPS. Buyer shall have no claim to, nor ownership interest in, any IP and such information, in whatever form and any copies thereof, shall be promptly returned to MPS upon written request from MPS. Buyer acknowledges that no license or rights of any sort are granted to Buyer hereunder in respect of any IP, other than the limited right to use the products purchased from MPS.
